Terms of Service

Last updated: August 21, 2026 · Effective: September 9, 2026

These Terms are a contract between "IRSA" MCHJ, a limited liability company organised under the laws of the Republic of Uzbekistan, TIN 313132120 ("we", "us"), and the business that uses Carrier Safety Check (the "Service"). By creating an account or using the Service, you agree to these Terms. If you act for a company or other organisation, you confirm that you are authorised to bind it.

The Service is designed for businesses engaged in United States freight brokerage and motor-carrier operations. It is not a consumer product. Your employees or contractors may access the Service from other countries, subject to applicable law and these Terms.

1. What the Service does

The Service gathers information about a motor carrier from public/government sources, reads documents you upload, compares available information and returns:

The Service evaluates the motor carrier as a commercial entity. Driver information may be used as evidence to verify a carrier packet or identify an inconsistency, but the Service is not designed to produce a driver's employability score, background report or hiring recommendation.

2. Meaning of the output

The output is a decision-support tool, not a guarantee or legal opinion.

information available at the time. It is not a statement that the carrier is safe, trustworthy, fraud-free or suitable for a particular shipment.

human resolution.

applicable ruleset. It is not a judicial or regulatory determination and does not replace your own legal, safety or commercial judgment.

Your organisation remains responsible for selecting carriers, tendering freight and deciding what additional due diligence is appropriate for a particular load.

The proprietary risk score is separate from official FMCSA safety ratings, operating authority, out-of-service orders and other government statuses.

3. No consumer or employment screening

The Service is designed and offered solely for commercial motor-carrier verification. You must not use it to determine an individual's eligibility for consumer credit, personal insurance, housing, employment or another purpose regulated by the Fair Credit Reporting Act or similar consumer-reporting law.

In particular, you must not use the Service as a driver background-screening or hiring service. If you require such screening, use a provider and process specifically designed for that purpose.

The product boundary in this section is substantive. Features that evaluate a driver for hiring, retention, insurance, credit or another consumer purpose are outside the Service and require a separately designed and legally reviewed product.

4. Accuracy, sources and source outages

Findings may use records published by FMCSA, NHTSA and the US Department of Commerce, third-party enrichment services, and documents you upload.

Those sources are snapshots and may be delayed, incomplete, unavailable or wrong. Documents can also be outdated, altered or forged. We report what the available sources and rules show when the check runs; we do not warrant that a finding, score or status is accurate, current or complete.

A clean result is not a warranty that a carrier is safe or legitimate. A missing or unavailable source should be reported as unavailable rather than silently treated as positive evidence.

Where a result depends on fuzzy matching, inference or another non-authoritative signal, the Service should identify that uncertainty and route the issue to human review rather than present it as an official government determination.

5. Your account

Keep credentials and API tokens confidential. Activity performed through your account or valid credentials may be treated as authorised by you. Tell us promptly at security@irsa.digital if you believe credentials have been exposed.

You are responsible for users you invite and for configuring your organisation's own carrier-selection policies and hard-block rules where the product allows customisation.

6. Documents you upload and other people's information

You retain ownership of content you upload. You grant us the limited rights needed to provide the Service: to receive, store, secure, extract, compare, process, transmit to approved processors, delete and return/display results from that content.

Carrier paperwork can contain personal information about people who are not party to these Terms, including commercial driver's license data. By uploading such information, you represent that:

commercial carrier-verification purpose;

Do not upload information that is unnecessary for carrier verification. In particular, do not intentionally upload Social Security numbers, medical records, payment-card data or other data the Service does not request.

We process personal information contained in customer-uploaded documents on your behalf for the Service purposes described in these Terms and the DPA. We do not sell those documents or use their contents to train our own models. Production document extraction must use approved paid/contracted processors as described in the Privacy Policy and DPA.

The Data Processing Addendum is incorporated into these Terms where it applies to our processing of Customer Personal Data.

7. Document retention and audit history

Source documents are retained only for the period stated in the Privacy Policy, unless you delete them earlier, and full commercial driver's license numbers are reduced to their last four digits on the same schedule. We preserve the historical verification record for the period stated in the Privacy Policy, for security, billing, dispute handling and due-diligence history.

Historical reports are intended to represent what the Service showed at the time of the check. Later source changes or corrections may therefore create a new report or amendment rather than silently rewrite the earlier report.

8. Corrections and disputed information

If you believe a report contains a material factual error, contact support@irsa.digital with the report ID and supporting information.

We may verify the issue against the underlying source, ask for additional evidence, correct current information and/or issue an amendment linked to the historical report. We do not promise that every disagreement will result in a change, particularly where the Service accurately reproduced an authoritative source that later changed.

Nothing in this section limits rights or procedures that applicable law requires.

9. Acceptable use

Do not:

anyone;

plan expressly permits;

Public federal records remain available from their publishers. Nothing here restricts your use of those public sources independently of the Service.

10. License and intellectual property

Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right during the subscription term to access and use the Service for your organisation's internal commercial freight operations.

We and our licensors retain all rights in the Service, including its software, interfaces, documentation, proprietary scoring/rules, compilation and organisation of non-customer data, and improvements. You retain all rights in content you submit. Public/government records remain subject to the rights and terms of their respective publishers.

You may not copy, reverse engineer, decompile or attempt to derive the source code or non-public models/rules of the Service except to the extent such a restriction is prohibited by applicable law.

If you voluntarily provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use that feedback to operate and improve the Service, without identifying you publicly as the source unless you agree.

11. Confidentiality

Each party may receive non-public business, technical, security or commercial information from the other ("Confidential Information"). Customer-uploaded documents and non-public customer reports are Customer Confidential Information. Non-public Service architecture, security information, pricing in a negotiated order form, and proprietary rules/documentation are our Confidential Information.

The receiving party will use Confidential Information only to perform or receive the Service, protect it using reasonable care, and disclose it only to personnel, contractors, professional advisers and subprocessors who need it and are subject to confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate was already lawfully known without restriction, becomes public through no breach, is independently developed without use of the Confidential Information, or is lawfully received from a third party without confidentiality restriction. A party may disclose information when legally required, and where legally permitted will provide reasonable advance notice and disclose only what is required.

These confidentiality obligations continue for three years after termination of the applicable subscription, except that trade secrets remain protected for as long as they qualify as trade secrets and personal information remains subject to the DPA and applicable law.

12. Subscriptions, trials and payment

Access may require an active subscription and may begin with a trial. Prices, plan limits and included usage are shown at checkout or in an order form. Payments are handled by our merchant-of-record/payment provider; we do not receive payment card numbers.

Subscriptions renew automatically for successive periods equal to the billing period shown at checkout (for example, monthly or annually) until cancelled. The renewal price is the then-current price for the plan unless an order form states otherwise.

You may cancel at any time through the billing/account controls made available by the Service or by contacting billing@irsa.digital. Cancellation takes effect at the end of the current paid billing period. Except where required by law or expressly stated in an order form, amounts already paid are non-refundable and we do not provide prorated refunds or credits for unused time.

A free trial does not convert to a paid subscription unless the checkout or trial flow clearly discloses the conversion terms and you provide the required payment method/authorisation.

We may change subscription prices or included plan limits. For an existing paid subscription, a price increase will take effect no earlier than the next renewal after at least 30 days' notice, unless a longer period is required by law or an order form. You may cancel before the new price takes effect.

Our merchant of record may calculate, collect and remit sales, use, VAT, GST or similar transaction taxes where applicable. You remain responsible for taxes or governmental charges that are legally imposed on you and are not collected by the merchant of record.

Plan limits, fair-use restrictions and API allowances shown at checkout or in an order form are part of your subscription. Manual use that is represented as "unlimited" remains subject to reasonable fair-use, security and anti-abuse controls and does not include automated scraping or API use unless expressly included.

13. Availability and changes

We aim to keep the Service available but do not promise uninterrupted access. Government and third-party sources may become unavailable. The Service should report material source outages rather than invent or silently substitute data.

We may modify features, sources and rules. Where a change materially reduces a paid feature, we will provide notice as required by contract or law. We may also discontinue the Service on at least 30 days' notice where reasonably practicable; if we discontinue a prepaid Service before the end of its paid term for reasons other than your breach, we will provide a prorated refund or credit for the unused prepaid period.

14. Suspension and termination

You may stop using the Service and close your account subject to the product's deletion controls and any outstanding payment obligations.

We may suspend or terminate access for material breach, unlawful use, security risk, abuse, non-payment or where necessary to protect the Service or third parties, with notice where practical.

Deletion of an account or request does not necessarily erase minimized records that we are permitted or required to retain for billing, security, legal, dispute or historical audit purposes, as described in the Privacy Policy and DPA.

15. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that use of the Service will prevent cargo theft, fraud, accidents, regulatory violations or other losses, or that a PASS status means a carrier will perform safely or lawfully.

16. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business or lost data.

Without limiting the disclaimers above, we do not assume your legal or operational duty to select, qualify, monitor or tender freight to a motor carrier. You remain responsible for the final carrier-selection decision and for determining whether additional due diligence is appropriate for a particular shipment.

Our aggregate liability arising out of or relating to the Service will not exceed the greater of (a) US $100 or (b) the fees actually paid or payable by you for the Service during the 12 months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose, to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited.

17. Indemnity

You will defend and indemnify us against third-party claims arising from:

except to the extent the third-party claim is caused by our breach of these Terms, fraud or wilful misconduct, and provided that we:

(a) give you reasonably prompt written notice of the claim; (b) give you control of the defence and settlement, using counsel reasonably acceptable to us; and (c) provide reasonable cooperation at your expense. A delay in notice relieves you of an indemnity obligation only to the extent the delay materially prejudices the defence. You may not settle a claim in a way that admits fault by us, imposes non-monetary obligations on us, or requires us to pay money without our prior written consent, not to be unreasonably withheld.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-laws principles that would require application of another jurisdiction's laws.

Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the Service will be submitted to the competent courts having jurisdiction over the registered office of "IRSA" MCHJ in the Republic of Uzbekistan, and each party consents to that jurisdiction and venue.

The parties are not required by these Terms to arbitrate disputes. Before filing a claim, each party will make a good-faith effort for at least 30 days to resolve the dispute through written notice and business-level discussion, except where urgent injunctive or protective relief is reasonably necessary.

19. Changes to these Terms

We may update these Terms. We will provide notice of material changes as required by law or contract and update the "Last updated" date. The effective version will apply from its stated effective date.

20. General

Order of precedence. If documents conflict, a signed order form controls for its specific commercial terms, the DPA controls for processing of Customer Personal Data, and these Terms control otherwise, unless the document expressly states a different priority.

Entire agreement. These Terms, the DPA, applicable order forms and policies expressly incorporated by reference are the entire agreement concerning the Service and replace prior discussions or representations about the same subject.

Assignment. You may not assign these Terms without our prior written consent, except as part of a merger, reorganisation or sale of substantially all assets where the successor assumes these Terms. We may assign these Terms to an affiliate or in connection with a merger, reorganisation, financing or sale of the Service or substantially all related assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due. This may include major internet/cloud outages, government action, war, natural disasters, labour disruption or failure of an external data source not reasonably controllable by the affected party.

No agency. The parties are independent contractors. These Terms do not create a partnership, employment, fiduciary, broker-carrier, insurance or agency relationship between us and you.

Severability and waiver. If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remainder will continue in effect. Failure to enforce a provision is not a waiver of it.

Survival. Provisions that by their nature should survive termination, including accrued payment obligations, intellectual-property ownership, confidentiality, disclaimers, limitations of liability, indemnity, dispute terms and this General section, survive termination.

Notices. We may send operational and contractual notices to the account email or through the Service. Notices of legal claims must also be sent to legal@irsa.digital. You are responsible for keeping your account contact information current.

Export/sanctions compliance. You may not use the Service in violation of applicable export-control or sanctions laws, or knowingly permit access by a person or entity where such access is prohibited by applicable law.
